GARDEN CLUB BYLAWS
ARTICLE I: NAME This club shall be known as the Burlington Garden Club. ARTICLE II: OBJECTIVES To encourage interest in all phases of home gardening and promote better horticultural practices, civic beauty and the conservation of natural resources.
To affiliate with the State Federation of Garden Clubs and the National Council of State Garden Clubs. ARTICLE III: MEMBERSHIP Section 1: The Membership year begins on July 1st and ends on June 30th. Applicants do not need to reside in Burlington to join the club. The Membership Committee will review all membership applications. Section 2: A candidate for membership shall be proposed to the Membership Chairperson by either applying on their own or by being introduced by another garden club member. After completing the membership application and payment of dues, the new member will be assigned an experienced garden club member as an advisor. The advisor’s duties are to 1) introduce the new member to members of the club; and 2) familiarize the member with the activities and functions of the club. The Membership Chairperson shall announce the new member’s name in the newsletter and at a regular meeting.
Section 3: Annual Dues shall be payable no later than June 30th of each year for the upcoming year.a. The Annual Dues shall be set by the Executive Board by December 31st for the following year and be ratified by the membership.b. Members whose dues remain unpaid by July 31st will automatically indicate resignation from the club.c. The Membership Chairperson shall mail/email out bills for dues to all members by April 1st.d. Dues of new members are due immediately upon acceptance into the club. Section 4: A past member may be reinstated by the approval of the Executive Board providing that the membership is not filled as per Article III, Section 1. Section 5: Honorary membership by vote of the Executive Board may be conferred upon any person who has rendered distinguished service to the Burlington Garden Club. Honorary members shall be exempt from payment of dues and shall have all privileges except the right to vote or hold office. Section 6: An annual membership social may be held at the vote of the members to acquaint prospective members with the aims of the club. Section 7: To maintain membership during each club year, every member shall:a. Attend at least two regular meetings.b. Participate in two club activities; these may include Civic Development, Garden Therapy, Conservation, fundraisers, or any other project the club undertakes.c. A member may be exempted from the above requirements by the President, an executive officer. The membership Chairperson shall be responsible for monitoring both attendance and participation. Failure to fulfill these obligations will forfeit your membership. ARTICLE IV: FINANCES Section 1: The fiscal year shall begin on July 1st and end on June 30th. Section 2: Fundsa. General Fund: Monies derived from dues and fundraising, interest, and other sources of income, shall be used for the administration of club business.b. Other Funds: Monies received for a specific purpose, such as grants, donations, bequests, scholarships, etc., shall be used solely for the purposes listed (unless the purpose no longer exists). Section 3: Gifts and Bequests – All proposed gifts and bequests must be approved by the Executive Board prior to acceptance. Section 4: All funds must be collected, held, and dispersed through the regular financial channels of the Burlington Garden Club. Section 5: An annual audit shall be performed after the close of the fiscal year but no later than August 30th. ARTICLE V: ELECTED OFFICERS
All officers shall be elected for one year with the privilege of re-election for a second year. These positions may be held individually or shared by two members. Section 1: The President shall preside at all meetings of the club and shall appoint the Standing committee chairpersons. The President shall preside at all Executive Board meetings of the club and shall be a member ex-officio of all committees except the Nominating Committee. Section 2: The Vice-President shall assume the duties and responsibilities of the President in the event of the President’s absence or disability. If the office of President becomes vacant, the Vice-President shall assume the office. Section 3: The Recording Secretary shall keep the minutes of all regular club meetings; preserve in her/his files an official copy of the Handbook and programs; present an annual report to the club, and transfer to her/his successor all club property in her/his possession. Section 4: The Corresponding Secretary shall conduct the correspondence of the club and Executive Board not otherwise provided for; keep on file all official communications received and sent by her/him; make an annual report to the club, and transfer to her/his successor, all club property in her/his possession. Section 5: The Treasurer shall collect and receive all monies due to the club and report such at each meeting; hold same, subject to the order of the Executive Board, and pay such bills as have been duly approved by the contracting parties; render a monthly report to the Board; have charge of payment of dues; make a full report to the club at the first meeting of the financial year (September) in writing. At the end of each financial year, an audit will be made. The Treasurer shall transfer all club materials in her/his possession to her/his successor at the end of the financial year. ARTICLE VI: EXECUTIVE BOARD Section 1: The Executive Board consists of the elected Executive Officers and following Chairpersons: Awards, Civic Development, Conservation, Flower Show, Garden Therapy, Good Neighbor, Horticulture, Juniors, Membership, Newsletter, Program, Publicity, Scholarship, Special Projects, Tea, Yearbook Editor, and additional chairpersons as deemed necessary by the President. Chairpersons shall be appointed by the President for a period of one year. Section 2: The Executive Board shall consider the business of the club and present recommendations to the membership, except for emergencies or sympathy. Section 3: The Executive Board shall vote on approval of a past member who wishes to be reinstated. Section 4: An Executive Board meeting will be held once a month; the day to be decided by the majority vote of the Board at its first meeting. Section 5: The Executive Board shall fill all vacancies in the Executive offices that occur between elections. Section 6: The voting delegate to the annual convention shall be designated as the President completing office. An alternate shall be designated in the following succession: Vice President, Recording Secretary, Corresponding Secretary, Treasurer, a designate of the President. Expenses, equivalent to the entire cost of the convention, shall be paid by the club for the voting delegate who attends the convention. ARTICLE VII: COMMITTEES
These positions may be held individually or shared by two members. Section 1: The following regular committees may be appointed by the President: Auditing, Awards, Civic Projects, Conservation, Flower Show, Garden Therapy, Good Neighbor, Horticulture, Juniors, Membership, Newsletter, Program, Publicity, Tea, Scholarship, Special Projects, Yearbook Editor, and any other committee deemed necessary by the President. Section 2: The Nominating Committee shall consist of three members. The Chairperson and two members shall be elected by the Executive Board at the May board meeting when chairpersons are chosen for the next year. This committee shall offer one or more nominees for each office whose names shall be read at the April meeting. Further nominations may be made from the floor at the time of the annual meeting. If there is more than one candidate for the same office, election shall be by ballot, and a majority vote shall elect. Ballots to be counted by two members appointed by the President. If there is only one candidate for each office, it will be in order to move that the Recording Secretary cast one vote of the club for the election of its officers. Section 3: Tea - The Tea Chairperson shall be responsible for refreshments at each meeting. Section 4: Good Neighbor Committee - This Committee shall consist of the Chairperson only and shall send cards acknowledging significant life events and shall make a memorial donation upon the death of a member, their spouse or partner, or child. Any other expression of sympathy shall be at the discretion of the Chairperson within the limits designated by the Executive Board. Section 5: Publicity Committee - The duties of the Publicity Committee shall be to advertise activities which are open to the public. The publicity chair shall publicize and inform on club meetings, activities, etc. Board Members and committee Chairpersons shall furnish information to the Publicity Chairperson on all club activities. Section 6: Membership Committee - The Chairperson is in charge of increasing the membership of the club and creating good will among members of the club, mailing the dues bills to all members, keeping the mailing list of the club up-to-date for use in preparing the monthly newsletter, monitoring the attendance and participation of club members, and tracking the requirements for service awards. Section 7: The Yearbook Editor shall draft and have published the annual Yearbook with the aid of records from the Program, Membership, and Publicity chairpersons, and any other chairpersons who may submit necessary information. The Yearbook shall be published by the September Board Meeting and be available for the Membership by the September regular meeting. Section 8: The Program Chairperson shall arrange for programs based on various phases of gardening, using Federation guidelines. Details of program will be printed in the Yearbook. Section 9: Horticulture - The Horticulture Chairperson shall investigate all phases of cultivation (flowers, fruit, etc.) for the general information of the club. Where practical, a study group shall be formed to research problems for the club. The Chairperson is encouraged to attend horticultural meetings available to her/him and report relevant information to the club. Section 10: Newsletter - The Chairperson publishes the monthly newsletter using the information submitted by the Executive Board and other chairpersons. The expected timeframe for the monthly publication is two weeks before the regular meeting. Section 11: Civic Development and Environmental Improvement Projects - The Chairperson, along with a team of club members, shall design, select plants, and create seasonal displays for the planters on the town common and other sites in the town. The Chairperson shall investigate future projects for the club and determine the club’s capacity to successfully execute the new project.
Section 12: Auditing Committee - The Auditing Committee shall consist of two members and the Treasurer who will review the club’s financial records after the close of the financial year. Section 13: Flower Show - The Flower Show Chairperson shall plan details for any flower show the club may give during the year. It shall also be the duty of the Flower Show Chairperson to see that this club participates in Federation programs. Section 14: Garden Therapy - The Garden Therapy Chairperson shall investigate all phases of Garden Club work for a therapy program. Section 15: Conservation - The Conservation Chairperson shall investigate all phases of conservation for the general information of the club. Where practical, a study group shall be formed to research problems of conservation. Section 16: Juniors - The Junior Chairperson shall foster junior membership in the club and help junior groups gain knowledge in the areas of Garden Club activities. Section 17: Award and Scholarship - The Awards and Scholarship Chairperson and her two-member committee shall be responsible for the selection of the student who best fulfills the requirements of the Burlington Garden Club Memorial Scholarship. The amount of the scholarship will be determined annually by the membership on or before the March general meeting. This scholarship will be given to the Burlington High School Senior or Shawsheen Tech Senior from Burlington who will go to a higher study of the arts and/or sciences as related to horticulture, landscape architecture, environmental sciences, wildlife biology, engineering science, conservation, or the like in its widest aspect. The chairperson shall establish guidelines for her committee to ensure that projects may be submitted for the State and National Awards. She shall also seek out candidates eligible for Garden Club Federation of Massachusetts, Inc. scholarships and submit them to the State Scholarship Chairperson. Section 18: Advisory Committee - The Advisory Committee shall consist of the past president and any other past presidents to consider questions on policy and procedures and make recommendations to the Executive Board. Section 19: Social Media - The Social Media chair is responsible for maintaining the club’s presence on the internet. Social media platforms are used to provide education on gardening and environmental topics, inform the community of club activities and service work, publicize events, and attract new members. Platforms include but are not limited to the club’s website and Facebook page. ARTICLE VIII: QUORUM Section 1: A quorum of a meeting of the club shall be one-fourth of the paid membership. An associate member may not vote on Federation matters. Section 2: A quorum of the Executive Board shall be established at the first meeting each year. ARTICLE IX: PARLIAMENTARY AUTHORITY “Robert’s Rules of Order Revised” shall be the authority and govern this club in the business procedure on all points not covered by the bylaws. ARTICLE X: DISSOLUTION CLAUSE In the event of dissolution, all remaining assets and property of the organization shall, after payment of necessary expenses, be distributed to such organization as shall qualify under Section 501 (C) (3) of the internal Revenue Code of 1986, or corresponding provisions of any subsequent Federal Tax Law or to the Federal Government, a State or Local government for public purpose, subject to the approval of a court of competent jurisdiction within the Commonwealth of Massachusetts. ARTICLE XI: NON-DISCRIMINATION CLAUSE The Burlington Garden Club shall not permit in their conduct of club affairs, any restriction or limitation whatsoever based upon race, color, creed, gender, and national origin or employment status. ARTICLE XII: AMENDMENTS The bylaws may be amended at any regular meeting of the club by two thirds vote of those present, provided the proposed amendment has been submitted to the membership in writing previous to the regular meeting. ARTICLE XIII: CODE OF CONDUCT Members shall respect others at meetings and in written and verbal communications. Any member whose conduct at a club‑sponsored event adversely affects the reputation of the Garden Club may be suspended or asked to leave the club permanently.
A Board member may be removed from office for cause, including but not limited to criminal misconduct; violation of the Bylaws or established policies; bullying or harassment; misuse of Garden Club property or materials, including the Club’s name or logo; or other conduct determined by the Executive Board to be inconsistent with the duties and responsibilities of the office.
The grounds for removal shall be established and documented, and reasonable efforts toward resolution shall be made if practicable. The Board member shall receive written notice of the proposed removal, including the specific reasons for such action, and shall be given an opportunity to respond. Removal shall require an affirmative vote of two‑thirds (2/3) of the Executive Board. The vote and the grounds for removal shall be recorded in the meeting minutes. The Board member shall be notified in writing of the vote and the action taken. Revised and approved May 2026
